Community Health Systems Sells Laboratory Services to Labcorp
Transaction Overview
On Tuesday, Community Health Systems (CHS) announced the sale of its ambulatory outpatient laboratory services to Labcorp for approximately $194 million in cash, excluding transaction expenses. This deal encompasses assets across 13 states, which include patient service centers and in-office phlebotomy locations, as stated in a press release by CHS. Despite this sale, CHS will maintain operations of its inpatient and emergency department laboratories, as well as continue providing lab services related to imaging, pre-admission testing, and other hospital-based services.
Benefits of the Deal
According to both companies, the transaction—first disclosed in July—aims to enhance patient access to Labcorp’s services. This includes Labcorp’s specialty testing menu, an array of data analytics, and digital tools. CHS President and interim CEO Kevin Hammons emphasized that this move allows CHS to concentrate on its core services. “Completing this transaction with Labcorp allows our health systems to focus on core services and improve the overall patient experience, aligning with our unwavering commitment to providing high-quality, accessible healthcare to our communities,” Hammons noted in the press release.
Strategic Realignment of CHS
CHS is in the midst of a strategic realignment to focus on revenue-generating services, particularly in outpatient care. The for-profit operator has divested several acute care hospitals, including those located in North Carolina and Mississippi. Currently, CHS is also working on finalizing sales of three hospitals in Pennsylvania and a facility in Tennessee.
Labcorp’s Expansion Activities
Labcorp, on the other hand, is actively expanding its operations. In the previous year, Labcorp invested around $839 million to acquire clinical and outreach businesses, including Baystate Medical Center, Providence Medical Foundation, Westpac Labs, Invitae, and BioReference Health. In 2023 alone, the company has allocated approximately $671.5 million towards various acquisitions.
